The firm

Kaistone Investment Group USA LLC is a Delaware limited liability company that, together with its affiliates (collectively, “Kaistone” or “the firm”), conducts alternative investment activities across private real estate, private credit, and private equity. The firm operates from Florida and Tortola, British Virgin Islands.

Regulatory status

Kaistone Investment Group USA LLC and its affiliates are not registered as investment advisers under the Investment Advisers Act of 1940 and are not registered as broker-dealers under the Securities Exchange Act of 1934. The firm is not registered as a wealth manager and does not hold itself out as one.

The firm operates in reliance on exemptions from registration available under applicable US federal and state securities laws, including the private offering exemptions under Section 4(a)(2) of the Securities Act of 1933 and Regulation D promulgated thereunder.

Eligibility of investors

Interests in Kaistone’s investment vehicles are offered only to investors who satisfy the eligibility requirements set forth in the relevant offering documents. These typically include, at a minimum, status as an “accredited investor” as defined in Rule 501(a) under the Securities Act of 1933, and may include additional requirements such as “qualified purchaser” status under the Investment Company Act of 1940. Non-US investors must additionally satisfy the eligibility requirements of their own jurisdiction.

Investments are generally illiquid, have limited or no public market, and are subject to substantial restrictions on transfer. Investors must be prepared to hold their investment for an extended period and must be able to bear the economic risk of the investment.
